Based in Salesforce’s Morges office (CH-Vaud), the Junior Counsel will be part of the in-house commercial legal team responsible for Benelux, Italy, Switzerland, Israel and Emerging Territories, closely partnering with the other internal compliance, privacy, security and sales supporting functions to ensure agreements are consistent with internal corporate policies and processes.

Responsibilities:

  • Review and negotiate commercial legal agreements with small and medium size customers such as non-disclosure agreements, master subscription agreements, professional services agreements, data privacy addenda.

  • Draft or review contractual special terms included in order forms.

  • Assist other more senior members of the team on various more complex commercial legal agreements’ review and negotiation across the various jurisdictions covered by the team.

  • Provide support to the team in answering RFP and associated legal questionnaires, including collecting relevant information internally.

  • Assist in compliance related matters such as review of declaration documents, customers’ codes of conduct or equivalent.

  • Legal monitoring: legal research focused on existing and upcoming laws, regulations and administrative requirements applicable to the company’s business scope.

  • Help in developing and updating training materials.

  • Help updating contractual templates for the regions covered by the Morges Commercial Legal Team.

  • Participate in cross-regional team projects.

Required Skills/Experience:

  • Qualified lawyer: Swiss and/or EU Master Degree with an IT law specialization.

  • 1-3 year experience as an in-house junior counsel ideally in a large international IT company or as a junior associate in the IT division of a law firm.

  • Excellent command of English, both written and oral. Italian, French, German or Dutch would be a plus.

  • Good drafting and communication skills; detail oriented.

  • Curious and flexible mindset; strong appetite for working in an international environment.

  • Can do attitude, pro-active, responsive and service-oriented attitude.

  • Team spirited and collaborative attitude.

  • Ability to organize, prioritize and manage deadlines, in a fast-paced, rapidly evolving and demanding industry and work environment.
